The Firm is often on the short list in call for tenders of EU and Eastern Europe
Institutions in occasion of international projects targeting privatization of
State-owned assets and properties, alignment of national legislations to EU directives,
conduction of juridical-legal feasibility studies, and reform of the environmental
and economical regulatory frameworks.
In 1995, Firm as legal advisor and coordinator of the two-year term PHARE
project for the reform and development of the Albanian economic legislation.
The Firm supervised and co-ordinated a group of more than 50 professional
international advisors specialized in the nine legal sectors reformed by the
economic legislation (i.e.: Trade Law, International Law, European Union, Taxation,
Commercial Law, Labor and Employment Law, Constitutional Law, Antitrust, Legislation
on Financial Services, etc.).
In a different assignment, beginning in November 1997 Tonucci & Partners
assisted a work-group set up by the XXI General Directorate (Customs) of the
EU Commission to draft the Albanian Customs Code, subsequently adopted by the
Albanian Parliament in 1999 together with the relative implementation norms.
At the same time, the Firm provided legal assistance also to the work-group
set up by the General Directorate XXI (Customs) of EU Commission to draft the
new Albanian Excises Law, subsequently enacted by the Parliament in 1999.
In 1997 Tonucci & Partners, on behalf of the German Organization GTZ, assisted
OECD in the international program for drafting the Albanian Republic Constitution.
More recently, with regard to a project financed under the EU-EBRD PHARE Program
and concerning the management of municipal environmental infrastructures (framework
contract No. FC75/ECP-97-02-48/0), the Firm was commissioned by EBRD to provide
Services covering incorporation of municipal utilities and involvement of private
operators in public sector, development and management, municipal creditworthiness,
municipal asset management, advice on financial arrangement, financial and
economic analysis, legal analysis, procurement support, preparation of implementation
arrangements, and environmental management.
In December 1998 Tonucci & Partners was awarded by the Albanian Ministry
of Public Economy and Privatization a contract financed by the World Bank for
providing legal advice to the Albanian Ministry of Public Economy and Privatization
on the privatization process of the largest State-owned companies in the telecommunications
sector (AMC and Albtelekom), in the Oil and Gas sector (Albpetrol - Armo),
and in the mineral resources sector (Albkrom and Albaker).
The Firm recently assisted the Austrian group RZB - Raffeisen Zentral Bank
in the acquisition of the Saving Bank of Albania, the first Albanian credit
institute.
In Albania, Tonucci & Partners actively provides legal assistance in the
infrastructure sector. The Firm is currently assisting the European Bank of
Reconstruction and Development (EBRD) in a project financing operation to fund
the development of the new International Airport Terminal of Tirana by a German-American
consortium. As for the Firm's role as advisor to the EBRD
and International Finance Corporation (IFC), its involvement in the financial
support operation for the Albanian company Fushe-Kruja Cement Factory Sh.p.k.
(FKCF) - the biggest cement producer in Albany - part of the Lebanese
group Seament is notable (the loan has been issued by a pool of investors -
among which EBRD, IFC, and OPEC Fund for International Development).
In terms of financing, under the request of the IFC Tonucci & Partners
conducted a technical-juridical feasibility study in Albany, Bosnia and Macedonia
addressing
the suitability of financial instruments such as leasing and factoring.
In Romania, Tonucci & Partners' office in Bucharest has developed
an expertise in credit export in cooperation with SIMEST and SACE. The Firm
provides assistance in financial operations such as "Buyer's Credit" in
favor of public Romanian companies.
In addition, the Firm assists major Italian and international banks and financial
brokerage companies from their start-up operations, with special regard to
authorization and regulatory procedures set out in the Romanian banking directives,
to all subsequent phases, providing constant assistance in maintaining relations
with the Central Bank of Romania.
The Firm, appointed by local governments as legal foreign advisor for various
PHARE projects, has also gained experience in other EU countries such as Poland,
Hungary, and the Slovak Republic. In 1994 the Firm was appointed by the Hungarian
government to assist national authorities in developing the normative and institutional
framework regarding urban solid waste management; in 1998 the Polish Government
requested Tonucci & Partners' assistance in aligning its national
Multimedia and Information Technology legislation with the EU principles; in
1999 the Firm assisted the Slovak Republic's local authorities in aligning
and conforming national legislation to the EU principles of the Energy sector.
At the moment, the Firm is assisting local governments in Albania, Kosovo,
Macedonia and Bosnia in the alignment project of their respective legislations
regarding public tenders.
From 2002 to 2004, some lawyers of Tonucci & Partners were appointed by
the Italian Ministry of Economy and Finance as expert members on a project
to develop EU-conforming regulations for the Czech Republic as it entered the
European Union.
Besides the general corporate and commercial assistance provided to local
and international entrepreneurs by the Firm's offices in Tirana and Bucharest,
the Firm also advises a large number of businesses in other Eastern Europe
countries and developing countries. In particular, the Firm has provided
legal assistance and support in several joint-ventures between private Western
corporations and Eastern Europe Countries or other emerging markets with reference
to taxation, corporate and commercial issues.the EU Commission on the PHARE
project and the Albanian Government appointed the Tonucci Law.
