Providing consulting and assistance to public entities and institutions and private
companies, Tonucci & Partners participates intensely in administrative law,
public tenders and real estate fields,.
The Firm draws on significant experience in public works, services and supply
tenders, and works and services grants, specifically regarding tender's procedures
and documentation arrangement. Its activity in the highway construction tenders
and/or grants sector is notable.
Tonucci & Partners provides assistance to public entities and international
companies concerning the realization and management - through works and services
grants or project financing - of tourist, commercial, sports and cultural structures
on the occasion of national and international events.
Additionally, the Firm advises on the so called "project financing".
The Firm's assistance covers all of the important phases of project financing,
either private-contractual ones (such as the arrangement of the agreement among
the parties; agreement execution; analysis of eventual problems connected to
the operation; arrangement and execution of remedy packages normally used by
financial backers to ensure an adequate investment remuneration) or - in the
hypothesis of project financing regulated by the law 109/1994 - the public
side of the operation (including the planning of the operation and the evaluation
of its compatibility with other planning instruments and administration's programs;
evaluation of promoter's proposal; tender's procedure for structuring and managing
the operation; establishment of the project company; and other relations between
public administrations and the licensee).
The Firm also provides assistance on administrative law issues in the following
sectors: urban, construction, expropriations, transportation, mobile telephony
and general telecommunications, health-care, industry, commerce, public benefits
and funding, agreements and contracts with public administrations.
The Department's protection services for Real Estate (and the Property in
general) are among the Firm's most important professional services. Tonucci & Partners assists Italian and foreign companies on:
- Re-qualification and valorization of urban real estate and areas.
- Construction procedures for real estate, shopping malls and other real
estate multi-purpose complexes.
- Transfer of distribution of volumes and parcelling out agreements.
- Constitution of Owners' Consortia for the realization and management
of urbanization works.
- Procedures for the realization, the management, and the use of parking.
- Real estate renovations.
- Arranging of work and services let out contracts.
- Real estate sale and management of related negotiations on bank and
credit institute's financing.
Regarding the services described above, the Firm has consulted on issues related
to urban planning development (including the evaluation and interpretation
of general planning and implementation instruments) and productive intervention
plans; it has advised the Construction Industry (on administrative procedures
to obtain building permits and on activity start up notification to competent
Authorities, etc.); and, it has assisted in Real Estate fiscal treatment.
The Department's attorneys consulted the Italian Government (Ministry of Economy)
and main Social Security Institutes on the sale of their real estate assets,
valuing an aggregate of Euro 70.000.000.000; this transaction marked the largest
real estate sale ever executed in Italy.
The Firm has provided legal assistance to natural persons and foreign entities
with reference to assets and real estate located in Italy or subject to the
Italian normative regime. The Firm also offers its services to Italian owners
of real estate or assets in Italy in order to optimize the management of their
assets.
The Department has developed significant experience in the sectors of expropriation,
transport, mobile telephony and general telecommunications, health, industry,
commerce, public tax breaks and financing, public benefits and funding, and
agreements and contracts with public administrations.
The Department is also specialized in
administrative due diligence activities regarding acquisitions which present
problems with licenses, authorizations, and permits necessary to carry out
the company business.
The Firm provides assistance in administrative litigation before the competent
Judiciary Authorities (Regional Administrative Tribunal T.A.R. and State Council)
and in administrative proceedings before Administrative Authorities (Authority
for Public Works Control).
From an organizational perspective, the Department is composed of 15 lawyers.
